Corporate Governance

The Board constitutes of 7 members made up of 4 non-executive directors and 3 executive directors. The Board recognizes that it is accountable to the shareholders for maintaining the highest standards of corporate governance and continues to formulate policies aimed at creating an organization strongly positioned to achieve the ultimate good of the company, the shareholders, employees and other stakeholders. The Company’s Board of Directors and management team includes:

Alhaji Bashari Aminu

Chairman of the Board

Alhaji Bashari Aminu graduated with a B.Sc.(Accounting) from the prestigious Ahmadu Bello University, Zaria, Kaduna State in 1975
He is a fellow of the Institute of Financial Accountants (UK) and the Certified National Accountant of Nigeria (CAN)
He has played a key role in guiding the Company for the past 13 years.

Mr. Sanjeev R. Kapoor

Vice Chairman

Mr. Kapoor is the founder of Vital Products Plc
He is an Indian national with over 40 years of management experience in running conglomerates and multinational organization Nigeria.
He holds a Bachelor’s Degree in Commerce from the University of Bombay India.
He is non-executive director in Strides Vital Nigeria Limited (a pharmaceutical manufacturing company), Sambuka Fertilizers, Stellar Beverages, Vita Towers, Extended networks, and West African Tobacco Company Limited (a distributor of multinational brands of tobacco products)

Mr. Mike Donaldson

Director

Mike is a Chartered Accountant and gained corporate finance experience with Coopers & Lybrand (UK) and thereafter with Investec Bank
He later gained private equity experience by being part of the private equity team at Investec prior to joining RMB Corvest in 2004

Mr. Charl Ferreira

Director

Charl is a Chartered Accountant and has been an executive director of mining at Zico since 2011
Prior to joining Zico, Charl spent 11 years with Nedbank Capital in the Investment Banking Division, with 8 of these years in the M&A advisory team and 3 years in the Mining and Resource Finance team
His advisory experience ranges from advising and managing acquisitions, disposals, mergers, divestments, tender sale processes, listings and de-listings from the JSE Limited, capital raisings as well as senior, mezzanine and project finance based lending in the mining industry

Mr. Kayode Soyombo

Director

Mr. Soyombo graduated from the University of Ife with a B.Sc in Biochemistry
He worked with Guinness Nigeria Plc and rose to the position of production manager
He currently sits on the board of various companies including AIICO General, SNL Sales and Service Ltd, Kings Guards Nig. Ltd, Bluechip Communications Limited, D.F. Properties and Sambooka Fertilizers Ltd

Ms. Malvika Kapoor

Director

Malvika has a double Msc in Town and Country and Psychology. She also holds a Bachelor’s degree in Urban Planning, Design and management.
She has 10 years of FMCG manufacturing, sales and marketing experience with Vital Products. She was the MD of Vital from 2018-2023.
She spent 4 years at SEDEX (Supplier of Ethical Data Exchange) a worldwide authorization system for the auditing of suppliers and engaging corporate companies in transport supply chains between 2010-2014
Malvika has also worked in the corporate social responsibilities department at Deutsche Bank

Mr. Arvind Sharma

Managing Director

Arvind joined Vital in 2020. He has 30 years of experience (17 years in Nigeria) in various capacities
to establish competitive government regulated manufacturing unitsPreviously, designed, ordered, installed, commissioned &
managed operation of 7 world-class manufacturing factories for
appliances, soap, milk, malt-based drink, candies, oats and
cosmetics, in collaboration with and producing products for
multinational companies like Samsung, P&G, Colgate, Unilever,
PepsiCo, Beiersdorf (NIVEA), Twinning’s UK, Ornua Ireland etc.Joined Chanrai Summit Group, Nigeria in May-2003 as Plant Head
and became Managing Director of the Group in Jul-2017. Served
as the MD till Jul-2020
Joined Indian AC and refrigeration company, Blue Star in
Apr-1998, and worked at senior roles in manufacturing, quality and
R&D departments before moving to NigeriaStarted carrier with Indian Navy in Feb-1991 as commissioned
naval officer and worked in Naval Dockyard for 7 yearsHolds a Masters in Administrative Management from Jamnalal
Bajaj Institute, Mumbai University, a Bachelor of Engineering
(Metallurgy) from Punjab Engineering College, a Bachelor in
Science from Punjab University and a Marine Engineering
Proficiency Course from Naval engineering College, Lonavala

Mr. Albert Akuete

Production Manager and Quality Control

Albert has over 18 years of experience in the food and beverages industry.
He had his first degree in Food science and Technology. He also has a training course with Highfield awarding body for compliance in Haccp for food manufacturing.
At Vital, Albert oversees all matters relating to product development, process improvement, and overall quality issues in the Company.

Mr. Samarpit Shukla

Head of Accounts and Finance

Mr. Samarpit Shukla obtained MBA from Nmims and certified from Harvard Business school (Leadership Principles)
He managed the Account and Finance dept. in CWAY group, Midcom group before joining Vital Products Plc. and has a record of successful Business transformations/Financial management.

Mr. Manish Chauhan

Head of Department (Engineering)

Mr. Manish Chauhan joined Vital products in Jan. 2020. He had work in food-related companies with the likes of Wonder Parle Biscuits Ltd, Dabour Ind. Ltd, Perfetti Ven Melle Ind. Ltd, GB Foods Nig. and has over 15 years experience in FMCG.
He has been involved in several projects including New Machine installations, commissioning, and Machine upgrades.

Mr. Ugbeh Onyeka

Maintenance and Utility Manager

Onyeka is a graduate of Mechanical Engineering from Yaba College of Technology and have master in Business administration from Lagos State University, specializing in management and marketing.
He joined Vital Products Plc with a wealth of experience across industries like manufacturing/consumer goods having worked with top organizations like: Dabur International as maintenance in charge, PZ Cussons as a maintenance manager and CHI Nigeria limited as a productive maintenance superintendent.

Mrs. Oyerinde Tawa

Company Secretary

Tawa has worked with our sister’s companies: Vital Pharmaceutical and healthcare Ltd, Inrica Ventures Ltd and Sambuka Fertilizers Plc.
She has a total of 26 years working experience
